This session will provide an overview of best practices based on experiences with boards in the United States and around the world. You will have an opportunity to measure your company’s corporate governance through the lens of tried and true methods. Fundamental questions, and the accompanying nuances, such as, “What is the role of the board?” and “What is the role of management?” will be addressed. The important topic of board diversity will also be discussed. The presenter will walk attendees through how to put together a comprehensive and effective corporate governance structure, so regardless of whether you are looking for a place to start or want to ensure that what you have in place is as robust as possible, this session will provide you with valuable information.

Insurance entities typically require a great deal of customization in their investment portfolios, due to their unique business considerations (lines of coverage, short/medium/long tail mix, severity vs. frequency, etc.), management and the board’s risk appetite, as well as regulator and ratings agency considerations. Regulatory Focus: Getting Past Go as You Prepare for CGAD

While New York has yet to officially propose a law based on the NAIC Corporate Governance Annual Disclosure (CGAD) model, it is anticipated that CGAD will be coming to New York in the not so distant future. This session will provide the regulator’s view of corporate governance, focusing on regulatory prep and highlighting areas where insurance companies have had issues or questions arise.
